Terms of Service
Vizhaa is the name of our event vendor marketplace platform. It is operated by VizhaaHub LLP, a limited liability partnership registered in India. In these Terms of Service (“Terms”), “Platform” means Vizhaa; “we”, “us”, and “our” mean VizhaaHub LLP. These Terms govern your access to and use of the Platform, including our website and related services. By accessing or using the Platform, you agree to these Terms.
If you do not agree, please do not use the Platform.
1. The Service
Vizhaa provides an online marketplace that helps users discover event vendors and request contact with them. We may update, suspend, or discontinue features with reasonable notice where practicable.
2. Eligibility and Accounts
You must be at least 18 years old to use the Platform. By using the Platform, you represent that you meet this requirement.
You may browse parts of the Platform without an account. Certain actions (such as managing a vendor business on the Platform) require registration and compliance with our authentication processes.
You are responsible for providing accurate information and for maintaining the confidentiality of your account credentials.
3. Users and Vendors
a) General users
When you request to contact a vendor, submit a review, or use verification features, you agree to provide accurate information and to use the Platform only for lawful purposes.
b) Vendors
Vendors are responsible for the accuracy of their listings, pricing information they choose to display, and their communications with customers. Vendor offerings, contracts, and payments for services are between the vendor and the customer unless we explicitly state otherwise in a separate agreement.
4. Platform Role
Vizhaa provides technology that facilitates discovery and connection between users and vendors. Vizhaa does not act as an agent, broker, or intermediary for transactions between users and vendors.
No endorsement. The listing or display of a vendor on the Platform does not constitute an endorsement, recommendation, or verification by Vizhaa. We do not guarantee the quality, safety, legality, or outcome of any vendor service.
Any agreement for goods or services is solely between the user and the vendor unless we explicitly state otherwise in a separate written agreement.
Disputes between users and vendors
Any disputes between users and vendors must be resolved directly between them. Vizhaa is not a party to such disputes and is not obligated to mediate, arbitrate, or resolve them, except where required by applicable law.
5. Acceptable Use
You agree not to:
- Violate applicable laws or regulations
- Harass, abuse, or harm others
- Attempt to gain unauthorized access to our systems, other accounts, or data
- Use the Platform to transmit malware, spam, or misleading content
- Scrape, crawl, or automate access in a way that overloads or harms the Platform
- Misrepresent your identity or affiliation
6. Use of Contact Information and Leads
Users agree not to misuse vendor contact details obtained through the Platform for harassment, spam, unrelated solicitation, or any purpose other than good-faith communication related to the vendor’s services.
Vendors agree to use user contact details shared via the Platform only for responding to genuine service inquiries and related follow-up, and not for harassment, unrelated marketing without appropriate consent, or unlawful purposes.
We may suspend or terminate accounts that violate this section or misuse contact information.
7. Intellectual Property
The Platform, including its design, branding, and software, is owned by VizhaaHub LLP or its licensors. You receive a limited, non-exclusive license to use the Platform for its intended purpose. Vendors retain rights to their own listing content subject to their grant of license to us to display it on the Platform.
8. Third-Party Services
The Platform may integrate with or link to third-party services (including messaging, authentication, or hosting providers). Those services have their own terms; we are not responsible for third-party sites or services.
9. Disclaimers
The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are not permitted.
AI-generated insights
Certain vendor dashboard features, including Market Position pricing insights, summaries, priorities, and listing copy suggestions, may be generated in whole or in part using automated tools and artificial intelligence, based on data available on the Platform and aggregated peer benchmarks.
AI outputs are informational only. They do not constitute financial, legal, tax, or professional pricing advice, and we do not guarantee their accuracy, completeness, or suitability for your business. Benchmark and peer data shown with AI insights may reflect public listing information on Vizhaa, not verified transaction amounts or outcomes.
You remain solely responsible for your listing content, pricing, communications with customers, and commercial decisions. Your use of AI-generated features is at your own risk. To the fullest extent permitted by applicable law, VizhaaHub LLP disclaims liability arising from your reliance on AI-generated content, in addition to the general disclaimers in this section.
10. Limitation of Liability
To the fullest extent permitted by applicable law, VizhaaHub LLP and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Platform or interactions with vendors.
Our total liability for any claim arising from these Terms or the Platform is limited to the greater of (a) the amount you paid us directly for the Platform in the twelve (12) months before the claim, or (b) INR 5,000, except where limitations are not allowed by law.
11. Force Majeure
We are not liable for any delay or failure to perform resulting from events beyond our reasonable control, including but not limited to internet or telecommunications outages, natural disasters, acts of government, labour disputes, or failures of third-party service providers.
12. Indemnity
You agree to indemnify and hold harmless VizhaaHub LLP and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Platform, your content, or your violation of these Terms, except to the extent caused by our gross negligence or willful misconduct.
13. Suspension and Termination
We may suspend or terminate access to the Platform if you breach these Terms or if we reasonably believe such action is necessary to protect users, the Platform, or comply with law.
14. Governing Law
These Terms are governed by the laws of India. Courts at Chennai, Tamil Nadu shall have exclusive jurisdiction, subject to any mandatory provisions of law.
15. Changes
We may update these Terms from time to time. We will post the updated Terms on this page with a revised “Last Updated” date. Continued use after changes constitutes acceptance where permitted by law.
